Salgın gibi olağanüstü olaylar, sözleşmesel edimlerin ifasını imkânsız kılabilir ya da aşırı derecede güçleştirebilir. Bu durumda mücbir sebep, ifa imkânsızlığı ve aşırı ifa güçlüğü (uyarlama) kavramları devreye girer.

COVID-19 salgını, 11 Mart 2020'de Dünya Sağlık Örgütü tarafından "pandemi" olarak nitelendirilmiş; alınan tedbirlerle ekonomik hayat ve sözleşme ilişkileri derinden etkilenmiştir. Salgının bir sözleşmede ifa engeli yaratıp yaratmadığı; öncelikle sözleşmenin tüm hükümleri birlikte yorumlanarak, ardından yedek hukuk kuralları çerçevesinde her sözleşme özelinde değerlendirilmelidir.

1. Önce Sözleşme: Mücbir Sebep ve Uyarlama Klozları

İlk bakılması gereken, sözleşmede mücbir sebep (force majeure) ve uyarlama (hardship) klozlarının bulunup bulunmadığıdır. Bu klozların salgını kapsayıp kapsamadığı bir yorum sorunudur. Klozlarda çoğu zaman, mücbir sebebin doğması hâlinde karşı tarafa derhal veya belirli sürede bildirim yapma ya da belge sunma gibi şekil şartları öngörülür. Bu yükümlülüklere aykırı davranan taraf, mücbir sebep bulunsa dahi karşı tarafın zararından sorumlu tutulabilir.

Tacirler arasındaki sözleşmelerde basiretli tacir ilkesi gereği sözleşme metni esas alınır ve tarafların son iradesinin bu yönde olduğu kabul edilir. Sözleşmede hüküm yoksa, TBK'daki yedek hukuk kuralları (borçlu temerrüdü, ifa imkânsızlığı, aşırı ifa güçlüğü) uygulanır.

2. İfa İmkânsızlığı (TBK m.136 ve m.112)

Sözleşmenin temel ilkesi, tarafların taahhüt ettikleri edimi ifa etmesidir (pacta sunt servanda). Ancak sözleşme kurulduktan sonra tarafların etki alanı dışında esaslı değişiklikler doğabilir.

Sözleşme, salgının öngörülebileceği bir zamanda yapılmamışsa, alacaklı borçlunun kusuruna dayalı ifa imkânsızlığı (TBK m.112) hükümlerine gidemez. Buna karşılık, salgın öngörülebilir hâle geldikten sonra (Çin'de ilk vakanın görüldüğü 31 Aralık 2019 veya DSÖ'nün pandemi ilan ettiği 11 Mart 2020 — hangisinin öngörülebilirlik şartını karşıladığı somut olaya göre değerlendirilir) kurulan sözleşmelerde, ifada güçlük çeken borçlu yönünden TBK m.112 sorumluluğu gündeme gelebilir.

3. Aşırı İfa Güçlüğü ve Uyarlama (TBK m.138)

Salgın çoğu zaman kalıcı bir imkânsızlık değil, geçici bir ifa güçlüğü yarattığından, taraflar sözleşmenin yeni koşullara uyarlanmasını tercih edebilir.

4. Güncel Yargıtay İçtihatları

2020 sonrasında, özellikle işyeri kira sözleşmeleri bakımından zengin bir uyarlama içtihadı oluşmuştur. Mahkemeler; olağanüstü durumun öngörülemezliği, borçludan kaynaklanmaması, dürüstlük kuralına aykırı derecede borçlu aleyhine değişiklik ve borcun henüz ifa edilmemiş (veya çekince ile ifa edilmiş) olması şartlarını birlikte aramaktadır.

5. Milletlerarası Boyut (CISG ve Soft Law)

Türkiye'nin 01.08.2011 itibarıyla taraf olduğu Milletlerarası Mal Satımına İlişkin Sözleşmeler Hakkında BM Antlaşması (CISG) m.79/1, tarafın denetimi dışındaki, sözleşme anında hesaba katması beklenemeyecek bir engel nedeniyle ifa edememesi hâlinde sorumluluktan kurtulabileceğini öngörür. Benzer şekilde UNIDROIT İlkeleri (PICC m.7.1.7), Avrupa Sözleşme Hukuku İlkeleri (PECL m.8:108) ve DCFR (III.-3:104) de denetim dışı, öngörülemez ve kaçınılamaz engeller için sorumluluktan kurtulma imkânı tanır; ancak borçlunun engeli ve etkisini makul sürede alacaklıya bildirmesi gerekir.

Sonuç ve Öneriler

Extraordinary events such as an epidemic may render the performance of contractual obligations impossible or excessively difficult. In such cases, the concepts of force majeure, impossibility of performance, and excessive difficulty of performance (adaptation) come into play.

The COVID-19 epidemic was characterized as a "pandemic" by the World Health Organization on 11 March 2020; the measures adopted profoundly affected economic life and contractual relationships. Whether the epidemic creates an impediment to performance under a given contract must be assessed on a contract-by-contract basis, first by interpreting all the provisions of the contract together, and then within the framework of the default rules of law.

1. The Contract First: Force Majeure and Adaptation Clauses

The first thing to examine is whether the contract contains force majeure and hardship (adaptation) clauses. Whether these clauses cover the epidemic is a question of interpretation. Such clauses frequently prescribe formal requirements, such as giving notice to or submitting documents to the other party immediately or within a specified period upon the occurrence of the force majeure event. A party who fails to comply with these obligations may be held liable for the other party's loss even where force majeure exists.

In contracts between merchants, pursuant to the prudent merchant principle, the text of the contract is taken as the basis and the final intention of the parties is deemed to be in that direction. Where the contract contains no provision, the default rules of law under the Turkish Code of Obligations (TCO) (debtor's default, impossibility of performance, excessive difficulty of performance) apply.

2. Impossibility of Performance (TCO Arts. 136 and 112)

The fundamental principle of a contract is that the parties perform the obligations they have undertaken (pacta sunt servanda). However, after the contract is concluded, substantial changes beyond the parties' sphere of influence may arise.

Where the contract was not concluded at a time when the epidemic was foreseeable, the creditor cannot resort to the provisions on impossibility of performance based on the debtor's fault (TCO Art. 112). Conversely, in contracts concluded after the epidemic became foreseeable (31 December 2019, when the first case was reported in China, or 11 March 2020, when the WHO declared the pandemic — which of these satisfies the foreseeability requirement is assessed according to the concrete circumstances), liability under TCO Art. 112 may arise for the debtor experiencing difficulty in performance.

3. Excessive Difficulty of Performance and Adaptation (TCO Art. 138)

Since an epidemic most often creates not a permanent impossibility but a temporary difficulty of performance, the parties may prefer to adapt the contract to the new circumstances.

4. Recent Court of Cassation Case Law

After 2020, a rich body of adaptation case law has developed, particularly with respect to commercial premises lease agreements. The courts require the following conditions to be met cumulatively: the unforeseeability of the extraordinary situation, that it does not originate from the debtor, a change to the debtor's detriment to a degree contrary to the rule of good faith, and that the obligation has not yet been performed (or has been performed with reservation).

5. The International Dimension (CISG and Soft Law)

Article 79(1) of the United Nations Convention on Contracts for the International Sale of Goods (CISG), to which Türkiye has been a party as of 01.08.2011, provides that a party may be relieved of liability where it fails to perform due to an impediment beyond its control that it could not reasonably have been expected to take into account at the time of the contract. Similarly, the UNIDROIT Principles (PICC Art. 7.1.7), the Principles of European Contract Law (PECL Art. 8:108), and the DCFR (III.-3:104) also grant relief from liability for impediments that are beyond control, unforeseeable, and unavoidable; however, the debtor must notify the creditor of the impediment and its effect within a reasonable time.
